These Terms of Service ("Terms") govern access to and use of the UnitMode platform (the "Platform"), operated by UnitMode Limited ("Company", "we", "us", or "our"), a company incorporated in Ireland.
By accessing or using the Platform, you ("User", "you") agree to be bound by these Terms. If you do not agree, you may not use the Platform.
1. Eligibility and Authority
- You must be at least 18 years old and have legal authority to enter into these Terms on behalf of yourself or your organisation.
- If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Use of the Platform
- You may use the Platform only for your internal business purposes.
- You are solely responsible for all content, data, and materials you upload or submit.
- You must comply with all applicable laws and regulations.
- The Company may suspend or terminate access to the Platform at any time, with or without cause, at its sole discretion.
3. Restrictions
You must not:
- Copy, modify, distribute, or create derivative works of the Platform;
- Reverse engineer, decompile, or attempt to derive source code from the Platform;
- Use the Platform for competitive analysis or to train machine learning models;
- Interfere with or disrupt the integrity or security of the Platform;
- Use the Platform to mislead consumers, engage in greenwashing, or otherwise breach advertising or consumer protection laws.
4. Intellectual Property
- All rights, title, and interest in the Platform, including its software, databases, algorithms, and trademarks, are owned exclusively by UnitMode Limited.
- Users are granted a limited, non-exclusive, revocable licence to use the Platform during the subscription term.
- Users retain ownership of content uploaded but grant the Company a worldwide, royalty-free, sublicensable licence to use, process, and store such content solely for operating and improving the Platform.
- Feedback or suggestions provided by Users may be used by the Company without restriction or obligation.
5. Data Protection
- Users are solely responsible for securing all necessary rights, consents, and authorisations for data they submit to the Platform.
- The Company processes personal data in accordance with its Privacy Policy and Data Processing Addendum.
- Users shall not upload special categories of personal data (as defined by GDPR) without prior written approval from the Company.
6. Disclaimers
- The Platform is provided "as is" and "as available."
- The Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
- The Company does not warrant that use of the Platform will ensure compliance with any law, regulation, or standard, including advertising or consumer protection requirements.
7. Limitation of Liability
- To the fullest extent permitted by law, the Company shall not be liable for indirect, incidental, consequential, punitive, or special damages, including lost profits, goodwill, or data.
- In no event shall the Company's total liability exceed the amount paid by the User for access to the Platform in the twelve (12) months preceding the claim.
- Nothing in these Terms limits liability that cannot be limited by law (e.g. fraud, wilful misconduct).
8. Indemnification
Users agree to defend, indemnify, and hold harmless UnitMode Limited, its officers, employees, and affiliates from any claims, liabilities, damages, costs, or expenses (including legal fees) arising out of or related to:
- Use of the Platform in violation of these Terms or applicable law;
- Content or data submitted by the User;
- Misrepresentation or misleading claims made using the Platform.
9. Suspension and Termination
The Company may suspend or terminate User access to the Platform immediately for any reason, including breach of these Terms or suspected misuse. No refunds will be issued.
10. Modifications
The Company may amend these Terms at any time by posting an updated version on the Platform. Changes are effective immediately upon posting. Continued use of the Platform constitutes acceptance of the amended Terms.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of Ireland. Users irrevocably submit to the exclusive jurisdiction of the Irish courts for any disputes arising out of or relating to these Terms or the Platform.
12. Miscellaneous
- These Terms constitute the entire agreement between the User and the Company with respect to the Platform.
- If any provision is found invalid or unenforceable, the remainder shall remain in full force and effect.
- Failure by the Company to enforce any provision shall not constitute a waiver.
